Terms of Service

1. Scope and Definitions

These Terms of Service ("Terms") govern the use of AI automation services, voice agents, process automation, and document intelligence solutions ("Services") provided by Deseo Digital Marketing LLC ("Deseo AI", "we", "us", or "our"), registered in Dubai, United Arab Emirates.

Definitions:

• "Client" or "You": Any natural or legal person using our Services
• "End Users": Individuals interacting with AI agents deployed by the Client
• "Service Data": All data processed through our AI systems
• "API": Application Programming Interface for service integration

2. Service Description

Deseo AI provides enterprise-grade AI infrastructure including:

• Neural Voice Agents for inbound/outbound communication
• Intelligent Document Processing (IDP) and OCR solutions
• Sales Intelligence and lead generation automation
• Process automation and workflow optimization
• API access for system integration

All Services are provided on an "as is" and "as available" basis unless otherwise agreed in a separate Enterprise Agreement.

3. Account Registration and Security

To access certain Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

4. Data Processing and Privacy

Data processing is governed by our Privacy Policy.

Key points:

• We process data only as instructed by the Client
• Zero retention options available for sensitive data
• All data transfers use TLS 1.3 encryption minimum

5. Acceptable Use Policy

You agree NOT to use our Services to:

• Process data in violation of applicable laws
• Deploy AI agents for deceptive practices or impersonation without disclosure
• Conduct activities that harm our infrastructure or other clients
• Reverse engineer or attempt to extract our AI models

6. Fees and Payment

Unless otherwise agreed:

• Services are billed monthly in advance based on usage tiers
• Voice agents: billed per minute of conversation time
• Document processing: billed per page/transaction
• API calls: billed per 1,000 requests
• Payments due within 14 days of invoice date

7. Intellectual Property

Deseo AI retains ownership of all IP rights in our Services, including:

• AI models, algorithms, and training data
• Software, APIs, and documentation
• Trademarks, logos, and brand assets

Clients retain ownership of their input data and receive a license to use output data generated through our Services, subject to these Terms.

8. Confidentiality

Both parties agree to maintain confidentiality of proprietary information disclosed during the business relationship. This obligation survives termination for a period of 3 years.

9. Limitation of Liability

To the maximum extent permitted by law:

• Deseo AI's liability is limited to direct damages only
• Exclusion of consequential, incidental, and punitive damages
• Maximum liability capped at fees paid in the 12 months preceding the claim
• No liability for AI output accuracy (Client must verify critical decisions)

10. Term and Termination

Subscriptions renew automatically unless cancelled with 30 days notice. We may suspend or terminate access for:

• Material breach of these Terms
• Non-payment after 30 days overdue
• Use that poses legal or security risks

Upon termination: (a) all licenses cease, (b) Client data is returned or deleted per our Privacy Policy, (c) accrued payment obligations remain due.

11. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates. Disputes shall be resolved in the courts of Dubai, UAE, unless otherwise agreed.

12. Changes to Terms

We may update these Terms with 30 days notice for material changes. Continued use after the effective date constitutes acceptance.
